Manager Terms of Service

These terms govern how home service businesses ("Managers") use HomeDaddyPro. The binding text is everything below this box, but here is what we promise you in plain words:
- Your clients are yours. Homeowners you bring onto HomeDaddyPro remain your customers. We will not market competing services to them, recommend another Manager to them, or sell their data.
- We are software, not your competitor. HomeDaddy does not perform home services under the HomeDaddyPro brand and will not use your data to start doing so.
- You set your prices. Your rates, markups and memberships are your call. We charge a processing fee on payments, and that is our revenue.
- You can leave with your records. You can export your job history, client contacts and invoices at any time, including after you cancel.
- No surprise fee changes. We give at least 30 days' written notice before changing fees.
- You are responsible for the work. You carry the license, insurance and warranty for the services you and your contractors perform. We verify some documents; we do not guarantee anyone's work.
1. Agreement and eligibility
1.1 These Manager Terms of Service ("Terms") are a contract between [HomeDaddy legal entity name, state of formation] ("HomeDaddy," "we," "us") and the business that registers a Manager account ("you" or "Manager"). The person who accepts these Terms confirms they have authority to bind that business.
1.2 You must be a registered business in good standing, at least 18 years old if a sole proprietor, and located in the United States. HomeDaddyPro is for business use only. Consumer protections that apply to individual homeowners do not apply to your account.
1.3 Our Manager Privacy Policy and [Payment Terms / Stripe Connected Account Agreement] are part of these Terms. If they conflict, these Terms control, except that the payment processor's terms control on payment processing.
1.4 Definitions:
- Platform: HomeDaddyPro software, including app.homedaddy.co, homedaddypro.com, mobile apps and APIs.
- Client: a homeowner who has selected you as their Manager on the Platform.
- Client Data: information about a Client or their home that you upload, or that a Client shares with you through the Platform.
- Home Record: the homeowner's own home profile, including their vault documents and home passport.
- Circle of Trust Contractor: a third-party service provider you invite onto the Platform to work on your Clients' jobs.
- Network Contractor: a service provider listed in HomeDaddy's directory.
- Services: home maintenance, repair, inspection or project work performed for a Client by you or a contractor.
2. What HomeDaddyPro is, and is not
2.1 HomeDaddyPro is a software platform. It lets you manage Clients, schedule and track jobs, run inspections, keep records, sell memberships, coordinate contractors and take payments.
2.2 HomeDaddy is not a contractor, home inspector, employer, staffing agency, insurer, broker or party to any contract for Services. Every contract for Services is between you (or your contractor) and the Client. HomeDaddy does not supervise, direct or control how Services are performed.
2.3 You and HomeDaddy are independent parties. Nothing in these Terms creates a partnership, joint venture, franchise, agency or employment relationship. You will not represent otherwise to Clients or contractors.
2.4 HomeDaddy will not perform Services for homeowners under the HomeDaddyPro brand.
3. Accounts, team users and security
3.1 You must give accurate business information, including legal name, EIN, address, service area and owner contact, and keep it current.
3.2 You may add employees and office staff as team users. You are responsible for everything done under your account, including by team users and Circle of Trust Contractors you grant access to.
3.3 Use strong, unique passwords and enable two-factor authentication where offered. Remove access promptly when someone leaves your business.
3.4 Tell us within 48 hours at [info@homedaddy.co] if you suspect unauthorized access to your account.
4. Your obligations as a Manager
4.1 Licenses and permits. You hold every license, registration and permit required for the Services you offer, in every jurisdiction you work in. You pull permits where required.
4.2 Insurance. While your account is active you carry at least: commercial general liability of [$1,000,000 per occurrence / $2,000,000 aggregate]; workers' compensation as required by law; and commercial auto if vehicles are used for work. You upload current certificates and renew them before expiry. We may pause your ability to accept new jobs if a certificate lapses.
4.3 Your people. You are solely responsible for hiring, classifying, paying, supervising and screening your employees and subcontractors, including any background checks you choose to run and any laws that apply to them.
4.4 Your work. You are solely responsible for the quality, safety, timeliness and legality of Services, and for any warranty you give. You resolve Client complaints about Services directly and in good faith.
4.5 Consumer law. You comply with laws that apply to your dealings with Clients, including home solicitation and cancellation rights, written estimate rules, auto-renewal and membership disclosure laws, advertising and pricing laws, and anti-discrimination laws.
4.6 Taxes. You are responsible for taxes on your income and on the Services and memberships you sell. HomeDaddy may issue Form 1099-K or similar reports as required by law.
5. Your Clients
5.1 Ownership of the relationship. Clients you invite onto the Platform, and Clients who select you, are your customers. HomeDaddy does not acquire any ownership of your customer relationships by hosting them.
5.2 Our non-solicitation promise. While you are a Manager and for [12] months after, HomeDaddy will not: (a) market Services, memberships or another Manager to your Clients; (b) prompt, nudge or recommend that your Clients switch Managers; (c) sell or rent Client Data; or (d) use your Client Data, pricing or job history to recruit your Clients or compete with you. Service messages (security notices, account and legal notices, and messages the Client requests) are not solicitation.
5.3 Inviting existing clients. When you invite existing customers, you confirm you have a lawful basis to contact them and to upload their information. Invitations are sent in your business name.
5.4 One Manager at a time. A homeowner may have one Manager at a time and may change Managers at any time. Only the homeowner can start a switch. When a Client switches: (a) you keep access to your own job, invoice and payment records for that Client; (b) the homeowner keeps their Home Record; (c) open jobs, deposits and prepaid membership periods are settled under your own terms with the Client; and (d) you lose access to that Client's Home Record.
5.5 Clients who leave the Platform. A homeowner may delete their HomeDaddyPro account. Your business records of work you performed are unaffected; see the Privacy Policy for what is retained.
5.6 No poaching between Managers. You will not use the Platform to solicit another Manager's Clients.
6. Circle of Trust and Network Contractors
6.1 Your Circle of Trust. You choose who to invite. You are responsible for your contract with each Circle of Trust Contractor, for confirming they are licensed and insured for the work, and for their access to Client Data. When you assign a Client job to a contractor, you remain the Client's point of responsibility unless the Client contracts directly with that contractor.
6.2 Network Contractors. HomeDaddy may list Network Contractors. Before listing, we check certain items, which may include business registration, license status, insurance certificates and public reviews. These checks are a point-in-time document review. They are not a background check, an endorsement, or a guarantee of anyone's quality, honesty, solvency or ongoing compliance.
6.3 Your decision to hire. You decide whether to use any Network Contractor. You should do your own diligence. HomeDaddy is not responsible for a Network Contractor's work, conduct or payment disputes.
6.4 Badges. Labels like "Verified" describe only the specific documents we reviewed and the date we reviewed them. You will not describe them to Clients as a guarantee.
7. Pricing, memberships, fees and payments
7.1 Your prices. You set your own rates, markups, estimates and membership plans, free or paid. You are the seller of record for Services and memberships you sell. Your membership terms, renewal and cancellation rules must be shown to the Client before purchase and must comply with law.

7.3 Passing fees to Clients. You may choose to show a service or convenience fee to Clients. You are responsible for making sure any fee you pass on complies with card network rules and state laws on surcharges and fee disclosure. [Attorney check: surcharge caps, debit-card prohibition and state restrictions.]
7.4 Payment processing. Payments are processed by [Stripe] under its connected account agreement, which you must accept. Funds are held and paid out by the processor, not by HomeDaddy. Standard payouts arrive on the processor's schedule.
7.5 Refunds, disputes and chargebacks. You set your refund policy. You are responsible for refunds you grant and for chargebacks, dispute fees and reversals on your payments. Processing fees are not refunded on refunded payments [confirm]. We may deduct these amounts from future payouts.
7.6 Off-platform payments. You may collect payments outside the Platform. No processing fee applies to them, and Platform features like payment records will not cover them.
7.7 Fee changes. We give at least 30 days' written notice before changing any fee. If you do not accept the change, you may cancel before it takes effect.
8. Inspections, home health score and reports
8.1 The Platform provides checklists and a home health score tool. You decide how to use them. Reports and scores you produce are your professional work product, and you are responsible for their accuracy.
8.2 A maintenance walkthrough is not a licensed home inspection. Unless you or your inspector hold the license your state requires, you will not call a walkthrough a "home inspection" or present it as one, including in connection with a real estate sale.
8.3 The home health score is a maintenance planning aid based on inputs you and the Client enter. It is not an appraisal, a code compliance determination, a warranty or a prediction that a component will not fail. You will present it to Clients that way.
9. Data, confidentiality and export

9.2 Our use. We use your business data and Client Data only to provide, secure, support and improve the Platform, to process payments, and to meet legal obligations. We do not sell it. We do not use it to train third-party AI models [confirm].
9.3 Your obligations. You give Clients any notice required by law about how you use their data, and you use Client Data only to serve those Clients.
9.4 Confidentiality. Each party keeps the other's non-public business information confidential and uses it only under these Terms.
9.5 Export. You can export your business data and your Client contacts, jobs and invoices in CSV [or other standard format] at any time. After cancellation, you have [60] days to export before we delete it, except where law requires us to keep records.
9.6 Security. We use reasonable administrative, technical and physical safeguards, including encryption in transit and at rest. If we learn of a security incident affecting your data, we notify you without undue delay.
10. Communications sent on your behalf
10.1 The Platform can send emails, texts and notifications to Clients in your business name (invitations, reminders, invoices, reports).
10.2 You are the sender of those messages. You confirm you have the consent the law requires, including written consent for marketing texts under the Telephone Consumer Protection Act and state equivalents. You honor opt-outs; the Platform processes STOP replies automatically.
10.3 You will not use the Platform for bulk marketing to people who are not your customers or have not opted in.
10.4 HomeDaddy may email you about your account, product updates and legal notices. You can opt out of marketing emails but not service notices.
11. Acceptable use, brand and intellectual property
11.1 You will not: misrepresent your licenses, insurance or reviews; post fake reviews; upload anything unlawful or that you lack rights to; discriminate against Clients; access other accounts; scrape, reverse engineer or overload the Platform; or use it to build a competing product.
11.2 Your brand. You keep all rights in your name, logo and content. You let us display them on the Platform, and in your public Manager profile, to provide the service. We will not list you in our marketing as a customer without your permission.
11.3 Our brand and software. HomeDaddy owns the Platform, the HomeDaddy and HomeDaddyPro names and logos, and all related software. We give you a limited, non-transferable right to use the Platform during your subscription. You may say "Powered by HomeDaddyPro" but may not otherwise use our marks without permission.
11.4 Feedback. If you send us ideas or feedback, we may use them without obligation to you.
12. Term, suspension and termination
12.1 These Terms start when you accept them and continue until either party ends them. You may cancel any time in your account settings.
12.2 We may end these Terms for any reason with 30 days' notice. We may suspend or end your account immediately if you materially breach these Terms, let required insurance or licensing lapse, create risk of fraud or harm to Clients, or if law requires it. Where practical, we tell you why and give you a chance to fix it first.
12.3 On termination: your access ends; pending payouts are paid after holding back amounts for refunds and chargebacks for up to [90] days; you can export data as in section 9.5; and each Client keeps their Home Record and may choose a new Manager. We will notify affected Clients only that you are no longer on the Platform, and will not recommend a replacement unless the Client asks.
12.4 Sections on fees owed, data, confidentiality, disclaimers, liability, indemnity and disputes survive termination.
13. Disclaimers, liability and indemnity
13.1 Disclaimer. The Platform is provided "as is" and "as available." To the extent the law allows, HomeDaddy disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Platform will be uninterrupted or error-free. HomeDaddy makes no warranty about any Services, contractor, Client or homeowner.
13.2 Limitation of liability. To the extent the law allows: neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits; and HomeDaddy's total liability under these Terms is limited to the greater of the fees you paid HomeDaddy in the 12 months before the claim or $[500]. These limits do not apply to a party's fraud, willful misconduct, or indemnity obligations.
13.3 Your indemnity. You will defend and indemnify HomeDaddy against third-party claims arising from: Services performed by you, your team or your Circle of Trust Contractors; property damage or injury at a Client's home; your breach of these Terms or law; worker classification or wage claims relating to your people; and messages sent in your name.
13.4 Our indemnity. We will defend and indemnify you against third-party claims that the Platform, as we provide it, infringes their intellectual property, and against claims arising from a security breach of our systems caused by our failure to meet section 9.6.
14. Disputes, changes and general terms
14.1 Talk first. Before filing any claim, the party with the dispute sends written notice and both parties try in good faith to resolve it for 30 days.
14.2 Arbitration. Unresolved disputes go to binding arbitration under the [AAA Commercial Arbitration Rules] in [Franklin County, Ohio], on an individual basis. Either party may bring qualifying claims in small claims court or seek an injunction for IP or confidentiality breaches. 14.3 Governing law. Ohio law governs these Terms, without regard to conflict-of-law rules.
14.4 Changes to these Terms. We give at least 30 days' notice of material changes by email and in the app. Changes do not apply retroactively. If you do not agree, you may cancel before they take effect.
14.5 General. These Terms are the entire agreement on their subject. If a part is unenforceable, the rest stays in force. You may not assign these Terms without our consent, except with the sale of your business. We may assign them in a merger or sale. Neither party is liable for delays caused by events beyond its reasonable control. Notices to us go to [legal@homedaddy.co]; notices to you go to your account email.
